1. About these terms

These Terms & Conditions apply to your use of ucartllc.com and to wholesale transactions with Ucart LLC. By using this site or placing an order you agree to these terms. If you have a signed distribution agreement with us, that agreement prevails where it differs.

2. Wholesale only

We sell to businesses — retailers, online sellers, chains, and distributors. Prices shown or quoted are wholesale prices, exclude applicable taxes and freight, and are not offered to consumers. We may ask for proof of business registration before fulfilling an order.

3. Quotes and orders

• Quotes are valid for 14 days unless stated otherwise.
• An order is confirmed when we issue an order confirmation and the agreed deposit is received.
• Minimum order quantities (MOQs) apply per product line and are stated in the quote.
• Standard payment terms: 30% deposit, balance before dispatch. Other terms (e.g. NET 30) only apply if agreed in writing.

4. Shipping and risk

Dispatch is typically 3–5 business days after full payment, from our Kalispell, MT distribution center or a partner facility. Delivery dates are estimates. Unless agreed otherwise, risk passes to you when the goods are handed to the carrier; title passes on full payment.

5. Inspection and claims

Inspect goods on arrival. Claims for transit damage, shortages, or defects must be reported within 7 days of delivery with photos and carton labels. Verified defective items are replaced or credited — our choice of remedy after review.

6. Returns

Because goods are sold wholesale, returns of correctly delivered, non-defective stock are accepted only by prior written agreement and may carry a restocking fee. Private-label and custom-packaged goods cannot be returned unless defective.

7. Product compliance

Products are supplied with the certification documents stated in the quote (e.g. CE, EN71, ASTM F963, CPSIA). You are responsible for confirming the products meet any additional requirements of your market and for correct retail presentation of warnings and labels.

8. Intellectual property

The Ucart name, logo, and all site content belong to Ucart LLC or its licensors and may not be reused without permission, except product images and descriptions we supply to you for reselling our goods.

9. Liability

To the fullest extent permitted by law, our total liability for any claim relating to an order is limited to the amount you paid for the goods concerned. We are not liable for indirect losses such as lost profits. Nothing in these terms limits liability that cannot be limited by law.

10. Governing law

These terms are governed by the laws of the State of Montana, USA. Disputes will be resolved in the state or federal courts located in Flathead County, Montana, unless a signed agreement says otherwise.
